ELIZABETH
BRANDON-BROWN is an attorney practicing in the securities
and corporate law areas in Boca Raton, Florida, and has practiced
in Washington
D.C. and Los Angeles, California.
Ms. Brandon-Brown devotes a significant amount of her practice to emerging companies.
This philosophy stems from the personal experience of raising capital through
an IPO for her own company, Quest Publications, Inc. She has over 25 years of
combined experience in the law and business, and over 14 years in drafting private
placements.
Ms. Brandon-Brown has written extensively on securities matters,
including guest columns in the Los Angles Business Journal, the
Washington Business Journal and the South Florida Business Journal.
Ms. Brandon-Brown earned her B.S. in journalism from the University
of Florida and her J.D. from the Columbus School of Law, Catholic
University, Washington, D.C. She is admitted to practice in California
and Florida. Prior to earning her law degree, Ms. Brandon-Brown
was the chief executive officer and founder of a publicly held
company.
FRANK W. BROWN is the firm’s chief financial officer. Mr.
Brown advises clients in finance and financial structuring for
securities offerings, including researching industry comparables
for P/E ratios, unit price structures based on the company, industry
and current marketplace.
Mr. Brown has extensive experience in financing companies in a
wide variety of industries including publishing, telecommunications,
Internet, and health/fitness.
Mr. Brown’s experience includes an officer and director
of a telecommunications company; an Internet communications company,
Chief Financial Officer (CFO) and director of two public companies
in Virginia and a Senior Economist at the Department of Energy’s
staff headquarters in Washington, D.C. Mr. Brown received his B.S.
in Business Administration from the University of Richmond and
his Masters from the University of Florida.
